1. Definitions
“Customer” means a person or organisation seeking or booking services. “Service Provider” means an independent person, agency, company or other entity offering services. “User” includes Customers, Service Providers and authorised representatives. “Booking” means a request for services accepted through the Platform. “Booking Value” means the displayed amount payable for a Booking, including identified fees and taxes. “Platform Fee” means any fee charged by Zatrium and disclosed before payment.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding contract.
If you use the Platform for a company or other organisation, you represent that you are authorised to bind it.
You must provide accurate, current and complete information and keep it updated. One person may not create deceptive, duplicate or impersonating accounts.
Zatrium may request identity, business, tax, skill, licence, background or bank-account information where reasonably required for trust, safety, payments or compliance.
3. Marketplace role
Zatrium provides a technology marketplace that helps Customers discover and book independent Service Providers and facilitates payment collection. Unless a listing or written agreement expressly says otherwise, Zatrium does not employ Service Providers, does not supply their underlying services, does not control how they perform professional work and is not a party to the direct service arrangement between the Customer and Service Provider. Service Providers determine whether to accept a request and remain responsible for their personnel, equipment, qualifications, permits, taxes, insurance, conduct and performance.
Any verification badge, profile review, rating or identity check is a limited platform measure, not a guarantee of skill, character, legality, availability, safety or suitability. Users must exercise reasonable judgment and conduct any additional checks appropriate to the assignment.
4. Accounts and security
Keep login credentials and one-time passwords confidential and promptly report suspected unauthorised access.
You are responsible for activity conducted through your account unless caused by Zatrium’s proven security failure.
Zatrium may use reasonable verification and fraud-prevention measures and may restrict an account while reviewing unusual activity.
A displayed nickname may be used socially on the Platform. The identity-verified legal name may be used for invoices, contracts, payouts, compliance and the final confirmation between the Customer and Service Provider.
5. Identity and Aadhaar verification
Where Zatrium offers Aadhaar-based or Aadhaar offline verification, it will be optional, consent-based and performed only through a legally permitted method or authorised service provider. The purpose, data fields requested and alternatives will be shown before verification. Refusing Aadhaar verification will not by itself deny access where another legally acceptable identity document can meet the same purpose. Zatrium will not require or retain Aadhaar biometrics and will not publish an Aadhaar number. Users must not upload an unmasked Aadhaar copy unless specifically and lawfully requested through a secure flow.
6. Listings and provider obligations
Service Providers must ensure that listings and communications are accurate, lawful and not misleading. Before accepting a Booking, a Service Provider must disclose the scope, price, inclusions, exclusions, timing, location, prerequisites, cancellation terms and any material risk or licence requirement. Service Providers must:
- perform accepted services with reasonable care, skill, professionalism and punctuality;
- hold all registrations, licences, permits, insurance and qualifications required for the service;
- comply with labour, tax, safety, anti-harassment, anti-discrimination, immigration and other applicable laws;
- not substitute another person without the Customer’s consent and any required re-verification;
- issue legally compliant invoices or information needed for invoices and provide accurate GSTIN, PAN, MSME or other government identifiers where applicable;
- not manipulate ratings, divert an accepted Booking off-platform or solicit payment outside the Platform to avoid fees.
7. Customer obligations
Customers must provide accurate assignment details, a safe and lawful work environment, reasonable access and cooperation, and any disclosed facilities, permits or equipment they agreed to supply. Customers must not request illegal, unsafe, discriminatory, exploitative, sexually inappropriate or misleading work. A Customer engaging personnel remains responsible for workplace directions and site-specific safety obligations that legally apply to it.
8. Booking formation and changes
A request is not confirmed until a Service Provider accepts it and the Platform displays confirmation. The confirmed listing, scope, price, schedule, messages and accepted changes form the service arrangement. Changes should be recorded through the Platform. A material change may require a revised price and fresh acceptance. Zatrium may correct obvious pricing or technical errors before performance; if a material correction is not accepted, the affected Booking will be cancelled and the amount collected for it refunded.
9. Prices, taxes and payment
The checkout page will show the amount payable, including applicable Platform Fees, provider charges and taxes to the extent known. Payments are processed by authorised third-party payment partners. Zatrium may collect Booking payments as a limited payment collection agent for the Service Provider and remit amounts after deducting disclosed fees, refunds, chargebacks, taxes withheld at source and other lawful amounts. Zatrium does not operate a deposit account, wallet or escrow merely by collecting a Booking payment.
Users authorise Zatrium and its payment partners to process payments, refunds, reversals and lawful deductions. Users remain responsible for their own income tax, GST and reporting obligations. Invoices must clearly identify the relevant seller or Service Provider as required by law.
10. Cancellations, refunds and no-shows
The Refund Policy forms part of these Terms. Unless the Booking page states a more favourable rule, a Customer may cancel for a full refund before a Service Provider accepts the request. After acceptance, the Booking is generally non-refundable because the Service Provider reserves time and may incur preparation costs. This does not limit mandatory consumer rights or the specific exceptions in the Refund Policy, including provider cancellation, provider no-show, duplicate payment, a material mismatch or non-performance, or a proven Platform/payment error. Zatrium may request evidence and may apportion a payment where part of the service was properly delivered.
11. Reviews, communications and user content
Users retain ownership of content they submit but grant Zatrium a non-exclusive, worldwide, royalty-free licence to host, reproduce, format and display that content for operating, securing and promoting the Platform. Reviews must reflect genuine experiences and must not contain threats, unlawful discrimination, personal data of others, confidential information, obscenity, defamation or manipulated endorsements. Zatrium may moderate, remove or retain content where reasonably required for law, safety, authenticity or dispute handling. While Zatrium may review and remove the content, it does not take responsibility of reviewing all content for correctness. The ownership of content remains with the user who uploaded such content and if fully responsible for any consequence of that content whatsoever.
12. Prohibited conduct
- fraud, impersonation, false credentials, fabricated reviews or payment abuse;
- harassment, stalking, violence, exploitation, discrimination or sexual misconduct;
- illegal services, trafficking, child labour or work by a person lacking required authorisation;
- malware, scraping, reverse engineering, automated access, security testing without permission or interference with Platform operation;
- using personal data obtained through the Platform for unrelated marketing, surveillance or sale;
- circumventing Platform fees or moving an accepted Booking off-platform;
- infringing intellectual property, privacy, confidentiality or other rights.
13. Safety and emergencies
Zatrium is not an emergency service. Users should contact police, medical or other emergency services when immediate help is required. Users may report safety incidents through customer support. Zatrium may share necessary information with emergency responders or authorities when legally permitted and reasonably necessary to protect a person or investigate serious misconduct.
14. Suspension and termination
You may close your account subject to outstanding Bookings, payments and legal retention duties. Zatrium may warn, restrict, suspend or terminate access for breach, fraud risk, safety concerns, repeated poor performance, non-payment, legal requirements or material harm to the Platform. Where practicable, Zatrium will state the reason and allow a response, but may act immediately to prevent harm. Clauses intended to survive, including payment, liability, indemnity, dispute and intellectual-property clauses, remain effective.
15. Intellectual property
The Platform software, design, databases, trade marks, logos and Zatrium content are owned by or licensed to FoodTechBiz OPC private limited. No right is granted except a limited, revocable, non-transferable right to use the Platform for its intended purpose. “Zatrium” and related branding may not be used without written permission.
16. Third party services
The Platform may use or link to payment, mapping, communication, identity-verification, analytics or other third-party services. Their separate terms and privacy notices may apply. Zatrium is not responsible for an independent third party’s service except to the extent liability cannot lawfully be excluded.
17. Disclaimers and liability
The Platform is provided on an “as available” basis. Zatrium does not guarantee uninterrupted access, continuous availability of a particular Service Provider, or a specific outcome from a service. Nothing in these Terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, violation of consumer rights, or any liability that cannot lawfully be limited.
To the maximum extent permitted by law, Zatrium is not liable for indirect, incidental, special or consequential loss, loss of profit, opportunity, goodwill or data, or for acts and omissions of independent Users. Subject to the preceding sentence and mandatory law, Zatrium’s aggregate liability relating to a Booking will not exceed the greater of the Platform Fees paid to Zatrium for that Booking or INR 5,000. This cap does not limit an obligation to return money that Zatrium holds and is legally required to refund.
18. Indemnity
To the extent permitted by law, a User will indemnify Zatrium and its officers and employees against third-party claims, penalties and reasonable costs arising from that User’s unlawful conduct, breach of these Terms, infringement of rights, tax or employment obligations, or performance of a service. Zatrium will give reasonable notice and control of the defence, and the indemnity will not cover loss caused by Zatrium’s own negligence or misconduct.
19. Complaints, disputes and governing law
Users should first submit complete details and supporting records through customer support. Zatrium may facilitate a resolution but is not obliged to adjudicate the underlying service contract. Consumer rights and access to consumer commissions are not restricted. These Terms are governed by the laws of India. Subject to mandatory consumer jurisdiction and other non-excludable remedies, courts at Noida will have jurisdiction. The parties may mutually agree to mediation before litigation.
20. Changes
Zatrium may update these Terms for legal, safety, operational or product reasons. The revised date will be displayed. Material changes will be notified through the Platform only or registered contact details where required. Changes will not retroactively reduce an accrued right or confirmed refund except where law requires otherwise. Continued use after the effective date constitutes acceptance, but separate consent will be sought where law requires it.
